These Terms and Conditions (“Terms”) govern your access to and use of the SwasthaMind mobile application (the “Application”), operated by SwasthaVision, a Private Limited organized under the laws of Ahmedabad, India (“Company,” “we,” “us,” or “our”). The Application provides resources, tools, and content designed to offer guidance and support for managing stress, anxiety, depression, and related emotional challenges. By downloading, accessing, or using the Application, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Application.

1. Nature of the Application

1.1 Guidance and Support Only. The Application is intended solely to provide general information, resources, and tools to support users in managing stress, anxiety, depression, and other emotional or mental health challenges. The Application does not provide medical, psychological, or psychiatric diagnosis, treatment, or professional mental health services.

1.2 No Diagnosis or Treatment. The Company is not a healthcare provider, and the Application is not designed or intended to diagnose, treat, cure, or prevent any mental health condition or medical condition. The content and features of the Application, including but not limited to guided exercises, mindfulness activities, journaling prompts, or informational articles, are for informational and supportive purposes only and are not a substitute for professional mental health care.

1.3 Requirement to Consult a Professional. Users experiencing mental health concerns, including but not limited to anxiety, depression, or suicidal thoughts, must consult a licensed mental health practitioner, such as a psychiatrist, psychologist, or therapist, for proper diagnosis and treatment. The Company strongly recommends that you seek professional medical or mental health advice before relying on any information or tools provided by the Application. In case of a mental health emergency, contact emergency services or a crisis hotline immediately.

1.4 No Doctor-Patient Relationship. Your use of the Application does not create a doctor-patient, therapist-client, or any other professional-client relationship between you and the Company or any of its affiliates, employees, or contributors.

2. Eligibility

2.1 You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Application. If you are under 18, you may only use the Application with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

2.2 By using the Application, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Application complies with all applicable laws and regulations.

3. Use of the Application

3.1 Permitted Use. You may use the Application solely for personal, non-commercial purposes in accordance with these Terms. You agree to use the Application only for lawful purposes and in a manner that does not infringe the rights of others or disrupt the operation of the Application.

3.2 Prohibited Conduct. You agree not to:

  • Use the Application to seek or provide medical or mental health advice, diagnosis, or treatment.
  • Misrepresent your identity, health status, or qualifications when using the Application.
  • Engage in any activity that interferes with or disrupts the Application, including but not limited to hacking, transmitting malware, or attempting unauthorized access to our systems.
  • Copy, modify, distribute, or reproduce any content from the Application without prior written consent from the Company.
  • Use the Application in any manner that violates applicable laws, regulations, or these Terms.

3.3 The Company reserves the right to suspend or terminate your access to the Application at its sole discretion, without notice, for any violation of these Terms or for any other reason.

4. User Accounts

4.1 To access certain features of the Application, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

4.2 You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You are solely responsible for all activities that occur under your account.

4.3 You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account.

4.4 Account Deletion. If you wish to delete your account, you must submit a written request to the Company at [email protected]. Upon receipt of your request, the Company will process the deletion of your account in accordance with our Privacy Policy and applicable laws. Note that certain data may be retained as described in Section 7.3.

5. Intellectual Property

5.1 All content, features, and functionality of the Application, including but not limited to text, graphics, logos, audio, video, software, and designs, are the exclusive property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Application for personal, non-commercial purposes, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Application without prior written consent from the Company.

5.3 Any content you submit to the Application, such as journal entries or user-generated feedback, remains your property. However, by submitting such content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual license to use, store, reproduce, and display such content for the purpose of operating, improving, and promoting the Application, subject to our Privacy Policy.

6. Payments and Subscriptions

6.1 Certain features of the Application may require payment, such as premium subscriptions or in-app purchases. All payments are processed through third-party payment processors, and you agree to provide valid payment information.

6.2 Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) and are non-refundable, except as required by applicable law.

6.3 The Company reserves the right to modify subscription fees or introduce new fees at any time, with notice provided to you in

accordance with Section 12 (Changes to These Terms).

7. Privacy and Data Retention

7.1 Your use of the Application is subject to our Privacy Policy, which governs the collection, use, and disclosure of your personal information. By using the Application, you consent to the practices described in the Privacy Policy.

7.2 You acknowledge that the Application may collect sensitive information related to your emotional or mental well-being (e.g., journal entries or mood tracking data). The Company takes reasonable measures to protect such information but cannot guarantee absolute security.

7.3 Data Retention for Legal Reasons. The Company may retain your personal data, including but not limited to account information and user-generated content, for a period of seven (7) years following the deletion of your account or cessation of your use of the Application, as required to comply with applicable legal, regulatory, or record-keeping obligations. After this period, such data will be securely deleted or anonymized, subject to our Privacy Policy.

8. Disclaimer of Warranties

8.1 The Application is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 The Company does not warrant that the Application will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Application at your own risk.

8.3 The Company makes no representations or warranties regarding the accuracy, reliability, or effectiveness of the content or tools provided in the Application for addressing mental health concerns.

9. Limitation of Liability

9.1 To the fullest extent permitted by law, the Company, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, emotional distress, or economic loss, arising out of or in connection with your use of the Application.

9.2 The Company’s total liability to you for any claim arising from these Terms or the Application shall not exceed the amount you paid to the Company for use of the Application in the twelve (12) months preceding the claim.

9.3 You acknowledge that the Application is not a substitute for professional mental health care, and the Company shall not be liable for any harm or injury resulting from your reliance on the Application in lieu of seeking professional assistance.

10. Indemnification

10.1 You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in connection with:

  • Your use of the Application;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation; or
  • Any content you submit to the Application.

11. Termination

11.1 You may discontinue using the Application at any time by submitting an account deletion request as described in Section 4.4.

11.2 The Company may suspend or terminate your access to the Application at any time, with or without cause, and with or without notice, including for any violation of these Terms.

11.3 Upon termination, your right to access and use the Application will cease immediately. Provisions of these Terms that, by their nature, should survive termination (e.g., intellectual property, limitation of liability, indemnification) shall remain in effect.

12. Changes to These Terms

12.1 The Company reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Application, sending you an email, or through other reasonable means.

12.2 Your continued use of the Application after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue using the Application.

13. Governing Law and Dispute Resolution

13.1 These Terms shall be governed by and construed in accordance with the laws of Ahmedabad, India, without regard to its conflict of law principles.

13.2 Any disputes arising out of or in connection with these Terms or the Application shall be resolved exclusively in the state or federal courts located in Ahmedabad, India. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such disputes.

14. Force Majeure

14.1 The Company shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or governmental actions.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Application and supersede all prior agreements or understandings.

15.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver. The Company’s failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

15.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without the Company’s prior written consent. The Company may assign its rights and obligations under these Terms at its discretion.
